Panoptyc, Inc. (“Panoptyc,” “Company,” “we,” “us,” “our”) provides a website located at panoptyc.co (“Website”) as well as products, services, and other offerings associated with camera inventory management and theft prevention (collectively, the “Services”). This privacy policy (“Policy”) describes the way Panoptyc collects, uses, maintains, and discloses information when you visit our Website or interact with our Services.

By visiting our Website or interacting with our Services, you agree to this Policy. If you do not agree to be bound by this Policy, you may not access our Website or interact with our Services.

THIS PRIVACY POLICY CONTAINS A BIOMETRIC DATA PRIVACY POLICY (“BIOMETRIC DATA POLICY”). BY USING OUR WEBSITE OR INTERACTING WITH OUR SERVICES, YOU EXPRESSLY AGREE TO OUR BIOMETRIC DATA POLICY.

BIOMETRIC DATA POLICY.

Definitions.

Biometric Data” means “Biometric Identifiers” and “Biometric Information” unless otherwise defined by applicable law.

Biometric Identifiers” means (without limitation) retina or iris scans, fingerprints, voiceprint, or scan of hand or face geometry, as well as data generated by automatic measurements of an individual’s biological characteristics or other unique biological patterns that is used to identify a specific individual.

Biometric Information” means any information, regardless of how it is captured, converted, stored or shared, based on an individual’s Biometric Identifier used to identify an individual. Biometric Information does not include information derived from items or procedures that are not Biometric Identifiers.

Facial Template” means the algorithmic and encrypted representation of measurements between variable points on a user’s face, resulting in a unique template that may be used to later identify and authenticate the individual based on the capture of a subsequent Facial Template. The Facial Template is only usable and readable by certain technology.

Panoptyc uses Facial Templates in limited states.

Panoptyc utilizes Facial Templates in limited states in order to provide its Services, as discussed in more detail below. Facial Templates cannot be reverse engineered to be usable outside of Panoptyc’s ecosystem. In certain jurisdictions, Facial Templates may constitute Biometric Data.
Panoptyc’s use of Facial Templates is subject to Panoptyc’s Privacy Policy and this Biometric Data Policy. Where inconsistent, the terms of this Biometric Data Policy control.

RESIDENTS OF CANADA, ILLINOIS, WASHINGTON, TEXAS, OREGON, NEW YORK, OR VIRGINIA, AND OTHER STATES OR JURISDICTIONS THAT PROHIBIT THE COLLECTION OF BIOMETRIC DATA. 

WHERE THERE IS A JURISDICTION WITH LAWS THAT PROHIBITS THE COLLECTION OF BIOMETRIC DATA OR INFORMATION, WE DO NOT POSSESS, STORE, COLLECT, CAPTURE, PURCHASE, RECEIVE THROUGH TRADE, OR OTHERWISE OBTAIN FACIAL TEMPLATES, BIOMETRIC IDENTIFIERS, OR DATA THAT CAN BE CLASSIFIED ASBIOMETRIC INFORMATION. WE DO NOT UTILIZE FACIAL TEMPLATE OR BIOMETRIC DATA TECHNOLOGIES IN THE STATES OF ILLINOIS, WASHINGTON, TEXAS, OREGON, NEW YORK, OR VIRGINIA, OR ANY OTHER JURISDICTION WITH LAWS THAT PROHIBIT THE COLLECTION OF BIOMETRIC DATA OR INFORMATION.

How Facial Templates are collected and used.

Our retail partners in certain states may use our Services that utilize Facial Template technologies in order to detect and prevent theft and fraudulent activity at their micro market and self-service retail locations. When you interact with our Services through our partners using Facial Template technology, your Facial Template may be collected and used. When this happens, our automated camera will take several measurements between various points on your face. The measurements are then input into an algorithm which generates a unique and encrypted representation of the measures, i.e. a Facial Template. When you next interact with our Services through our retail partners, the previously created Facial Template may be used to identify or designate you as a match. Panoptyc’s proprietary technology analyzes Facial Template event data and other variables in order to detect and prevent theft and other forms of retail fraud.
This Biometric Data Policy does not apply to Facial Templates or Biometric Data that have been de-identified and aggregated and which are no longer capable of identifying a natural person. We may use, retain, and share such de-identified and aggregated Facial Templates or Biometric Data for any purpose.

Limitations on use of Facial Templates.

Except as set forth in our Biometric Data Policy, Panoptyc does not and will not (i) collect, capture, purchase, receive through trade or otherwise buy Facial Templates or Biometric Data; (ii) disclose, re-disclose or otherwise disseminate Facial Templates or Biometric Data; (iii) use or disclose Facial Templates or Biometric Data in a manner materially inconsistent with this Biometric Data Policy; or (iv) sell, lease, trade and otherwise transfer your Facial Templates or Biometric Data to third parties, without providing you with advance written notice and obtaining your affirmative prior consent.

Exceptions
. Panoptyc may share Facial Templates or Biometric Data without prior notice or consent only when required to: (i) comply with applicable law; (ii) respond to a valid warrant or subpoena; (iii) complete a transaction you authorized or requested; or (iv) engage in other activities permitted by applicable law. We do not provide personally identifiable information, Facial Templates, or Biometric Data to third parties for marketing, advertising or other uses.

Storage, retention, and disposal of Facial Templates.

Storage. Panoptyc will store and protect Facial Templates using the reasonable standard of care within its industry and taking into account applicable privacy laws and reasonable administrative, technical, and physical controls.

Retention and Disposal
. Panoptyc shall retain your Facial Template for as long as you continue to interact with our Services through your interactions with our partners utilizing Panoptyc in applicable jurisdictions. We will permanently destroy your Facial Template upon the earlier of:

  • Your request for disposal;
  • Within one year of your last interaction with our Services; or
  • When required by law.

Opting Out.
If you decide that you no longer consent to our Biometric Data Policy, you may opt-out of Biometric Data or Facial Template enabled identification by notifying us in writing via the contact information provided in this Privacy Policy.
When you opt-out, we will de-identify any Facial Template previously associated with you and aggregate it with other de-identified Facial Templates into our opt-out pool. The next time you interact with our Facial Template technology, the system will recognize that your Facial Template is part of the opt-out pool. Once the system recognizes that your Facial Template is part of the opt-out pool, no identification or further recognition is conducted on your Facial Template, and the Facial Template is immediately deleted from our system.

Miscellaneous.


Dispute Resolution
. You agree that all disputes, controversies, and claims between you and us, or any of our partners in connection with your interactions with our Services at our partners’ retail locations, including in relation to this Biometric Data Policy or any dispute, controversy, or claim in connection with us or our partners’ possession, storage, collection, capturing, use, or sharing of Facial Templates or Biometric Data SHALL TO THE EXTENT PERMITTED BY LAW BE RESOLVED THROUGH BINDING ARBITRATION ON AN INDIVIDUAL BASIS AND NOT IN A COURT OF LAW OR THROUGH CLASS/COLLECTIVE PROCEEDINGS. Dispute Resolution and Arbitration procedures may be accessed or initiated by contacting us using the procedures set forth below.

Limitations of Liability
. YOU AGREE TO RELEASE US FROM, ANY DAMAGES, INCLUDING, BUT NOT LIMITED TO, ANY DIRECT, SPECIAL, STATUTORY, INDIRECT, OR CONSEQUENTIAL DAMAGES INCURRED OR SUFFERED AS A RESULT OF OR RELATED TO YOUR INTERACTION WITH OUR SERVICES.

Severability
. Any part, provision, representation or warranty of Panoptyc’s Biometric Data Policy which is found or held to be void or unenforceable shall be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions of the Biometric Data Policy.

GENERAL PRIVACY POLICY PROVISIONS

Panoptyc’s Privacy Policy describes how we collect, hold and use information about individuals who visit the Website that is capable of identifying those individuals (“Personal Information”).
By using any part of the Website, including by submitting a form or information request, (by any means, whether in correspondence, via our Website or otherwise) you accept the terms of this Policy. Any reference to our Website includes its e-mail, text, live chat, and other electronic messages. If you do not agree with this Policy or our practices, you may not use our Website. This Policy may change from time to time. Your continued use of our Website constitutes your acceptance of those changes. We encourage you to review this Policy periodically.
